SONESTA BUSINESS PASS TERMS & CONDITIONS

1. General and Definitions

1.1
Sonesta Business Pass eligibility and its benefits are offered at the sole discretion of Sonesta International Hotels Corporation (“Sonesta”). All interpretations of the Sonesta Business Pass program (“Program”) shall be at the sole discretion of Sonesta. Sonesta reserves the right to terminate, modify, revise, or change, in whole or in part, the Program, the Program’s Terms and Conditions, benefits, rewards, qualifications, and/or availability of benefits at any time, with or without notice. Furthermore, the membership of participating hotels in the Program as well as partner affiliations may change at any time without prior notice.

1.2
Eligibility to participate in the Program is available only to current employees and contractors of an existing Business Pass Account at time of check-in. In addition, all terms and conditions of the Sonesta Travel Pass program apply to participating employees and contractors of Business Pass Accounts who enroll in Travel Pass.

Program benefits include, potentially (no benefits are guaranteed) additional percentage discounts off of participating Sonesta hotel rates plus additional Travel Pass member benefits for those individuals who enroll in Travel Pass, subject to the terms and conditions of Travel Pass.

1.4
Sonesta reserves the right to disqualify or render ineligible anyone who appears to be using the Program in a manner inconsistent with these Terms and Conditions, in Sonesta’s sole discretion.

2. Sonesta Business Pass Benefits

All benefits are subject to availability and certain restrictions and blackout dates apply.

2.2
To receive benefits, you must book direct on Sonesta.com or an eligible Global Distribution System with your Business Pass Rate Code. Certain benefits are subject to Travel Pass terms and conditions, but are otherwise not combinable with any other discounts, promotions, or packages. Benefits are not valid for groups of nine (9) or more.
2.3
Benefits are not valid and cannot be applied to past stays or already existing reservations.

3. Miscellaneous

3.1
By receiving benefits in the Program, you agree that Sonesta and its affiliates and subsidiaries and their respective officers, directors, employees, representatives and agents (collectively, the “Released Parties”) will have no liability or responsibility whatsoever for, and shall be held harmless against, any liability for any injuries, losses, or damages of any kind (including without limitation, direct, indirect, incidental, consequential, or punitive or exemplary damages) to persons, including personal injury or death, or property arising in whole or in part, directly or indirectly, from acceptance, possession, use or misuse of a reward or benefit. In no event shall the Released Parties be liable to you for any delay in or failure to perform due to causes beyond Sonesta’s control, including without limitation, any act of God, act of war, natural, disaster, weather, terrorism, or any act or omission of a third party. This section will survive termination of your participation in the Program.

3.2
This Program and these Terms and Conditions shall be governed by, construed, and interpreted under the laws of the Commonwealth of Massachusetts. The Federal and State courts of the Commonwealth of Massachusetts shall be the exclusive court of jurisdiction in the first instance for any disputes regarding these Terms and Conditions. In any such dispute, under no circumstances will Business Pass Accounts or participating employees or contractors be permitted to obtain awards for, and hereby waive all rights to claim punitive, incidental or consequential damages, including attorneys’ fees, other than Business Pass Account or participating employee’s or contractor’s actual out-of-pocket expenses, even if Sonesta has been advised of the possibility of such damages.

3.3
Sonesta provides the Program, these Terms and Conditions, and other services and products “As Is” and, to the fullest extent permitted by applicable law, expressly disclaims any representation or warranties of any kind, express or implied, including but not limited to warranties of merchantability, or fitness for a particular purpose.

3.4
If any mistakes are discovered, your exclusive remedy shall be the issuance of points, or such other alternative comparable benefit as determined by Sonesta. In no event shall Sonesta be liable to any Business Pass Account, participating employee or contractor, or anyone claiming through any of them, for any direct, indirect or consequential damages, or lost revenue or profits, arising out of Sonesta’s acts or omissions in connection with the Program.

3.5
Sonesta is not responsible for late, lost, incomplete, or misdirected information or communications; computer system, phone line, electronic equipment, computer hardware, software or program malfunctions, or other errors; failures or delays in computer transmissions or network connections; or for any other technical problems. Sonesta is not responsible for incorrect or inaccurate information, whether caused by Business Pass Accounts or participating employees or contractors or by any of the equipment or programming associated with or utilized in the Program, or by any technical or human error which may occur in the processing of points and account information. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE ANY WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SONESTA RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
